The SEC mandates that companies disclose certain finacial information through the registration of securities. This information is required so investors can make informed decisions about purchasing securities. All securities must be either registered with the SEC or qualify for an exemtpion.

- Description of the offered security
- Company management details
- Certified financial statements
Shortly after being filed, this information becomes publicly accessible through the EDGAR system.
There are a variety of forms used for Registration Statements; howver, the priamry two forms are S-1 and S-3.
Form S-1: General registration statement for the company.
Form S-3: This form is used when the company applying for registration already has a security filed with the SEC and has met previous reproting requirements.
