Form D Filings

Beginning March 16, 2009, the SEC has required the Form D (REGDEX) and all amendments to be filed electronically. To view more information about the change, Click here.

The Form D serves as the official notice required to be filed by companies, both public and private, and funds that have sold secuirities without registration under the Securities Act of 1933 in an offering based on a claim of exemption under Rule 504, or Rule 506 of Regulation D or Section 4(6) of that statute.

The notice must be filed within 15 days after the first sale of securities in the offering based on the exemption. For this purpose, the date of first sale is the date on which the first investor is  contractually committed to invest. If the due date falls on a Saturday, Sunday or holiday, it is moved to the next business day. To view the official rule, Click here

To file, complete and email the Form D template to edgar@colonialfilings.com. Upon receipt we will send a proof for your verification. To learn more information about filing Form D, please visit the SEC Online Forms website.

I wanted to take time to write about a recent experience I had with Colonial. I started as CFO on May 9th and quickly discovered I needed to get a 10-Q filed, along with an entire restatement of 2015. The Colonial team was an integral part of getting our 10-Q filed in a timely and accurate manner! Their customer service and response time is excellent, they go the extra yard to get the work done (they have a can do attitude!). I would strongly recommend them to anyone seeking their services!
